Legal Guild Governance Framework

  1. Summary

  1. Background
Cross-guild-collaboration projects will receive funding from the Grants Committee to incentivize participants from all across the DAO to contribute to projects; whereas guilds will receive funds to create thriving guild operations.  This proposal will focus on the use of just guild funds and consider what it takes for thriving guild operations (not how we compensate guild members for contributions to DAO-wide projects).
Additionally, there is the need to set up a decision-making process for the guild in order to make decisions on how to allocate those funds. The intention is to have the guild collaboratively direct the legal guild multi-sig in order to execute ‘the will of the guild’.
It is therefore necessary to
  • assure equal access to participants in the guild treasury governance
  • define genesis guild roles and funds that will be allocated to them for season 1 (i.e. salaries for standing ‘jobs’ to maintain healthy guild coordination)
  • provide guidelines for creating proposals and making good decisions as a guild
 
  1. Proposals for funding
1. Ideation
Share an idea in #general-legal or during a weekly call to get some quick feedback
2. Proposal Draft
Present a proposal with a request for funding and discuss the proposal during the weekly call or on #general-legal. For funding requests for more than $5000 the use of the proposal template is required.
Solicit and receive feedback for 3 days and revise the proposal appropriately prior to finalizing the proposal for voting.
3. Approval/Voting
The Guild has to approve the proposal (per vote during a weekly call or through a poll on the discord channel). If a vote occurs during the weekly call, memorialized on the discord channel
4. Recording
Once a proposal is approved, it should be recorded on Notion

Guild Coordinator
Estimated 7 hours per week
Purpose: Keep the guild connected, organized, and sharing transparently across the DAO.
Responsibilities:
  • Maintain a weekly agenda
  • Facilitate weekly guild meetings
  • Manage meeting setup & calendar event
  • Event reminders
  • Moderating meeting flow & agenda
  • Represent the guild during DAO Community Calls
  • Moderate Discord Channels
  • Encourage collaboration
  • Allow individual contributors to stay up to speed at a higher frequency than async updates
 
Project Manager
Estimated work 7 hours per week
Purpose: Governance, Scribe & Quality Control
  • Follow the preparation of the agenda
  • Help the Guild Proposals take shape and work with proposal authors and contributors in order to smoothly implement projects.
  • Assist the Guild Coordinator in running the guild projects/initiatives.
  • Verify the correct execution of the procedures and decide with the Guild Coordinator and the members the best strategies so that everyone's work is carried out at a high level of quality.
  • Ensures all governance-related actions are completed according to the governance protocols designed in this proposal.
  • Have the Active Members list up to Date, based on the Active Members Criteria.
  • Work alongside the Audience Growth Manager in the creation of TW Spaces.
 
Guild Treasurer
Estimated 3 hours per week
Purpose: Take care of the Guild Treasury and maintain a record of the bounties.
Responsibilities:
  • Ensure the executed bounties are properly recorded for transparency.
  • Help the guild manage the budget in the most cost-efficient way.
  • Help the guild projects manage their budget and advice the contributors with respect to operating revenue.
 
Information Catalyst
Estimated 6 hours per week
Purpose: Help Guild members acquire important information within the legal crypto space
Responsibilities:
  • Search daily for relevant information and post the most relevant on #general-legal
  • Discuss news and information with other guild members
  • Help new Guild members to understand the mission and contributions of the Legal Guild and assist them in their first tasks
  • Manage relationships with other Guilds and propose contributions of the Legal Guild if necessary
 
Audience Growth Management
Estimated 7 hours a week
Purpose: Help the growth of the Legal Guild audience outside Discord.Responsibilities:
  • Excellent social media management skills[creating good legal guild content and generating engagement]
  • Bring feedback on how engagements have been going so far outside Discord
  • Good communication skills with the audience and sharing valuable info with members outside Discord.
  • Conducting research every day on the latest legal news in Web3.
  • Creating Designs for the Guild's Twitter Space.
  • Setting up Twitter Space.
  • Creating Decentralised Law Threads on Twitter.
 
Notion Manager
Requirements/responsibilities;
  • Taken the notion ninja course
  • Update the guilds notion page with the necessary information
  • Prepare the notion page for meeting updates two days before the meeting and constantly remind members to add their updates.
  • Grant access to members willing to add necessary updates to the notion page and ensure orderliness with the guilds notion page.
  • Welcoming new members into the guild and providing them with information and links to get them started.
  • Holding onboarding sessions every week. Answering whatever questions they have and trying to know them so as to know how to get them plugged into the guild’s projects.

  • Understand each talent in the guild and guide them through ways they can get active

  • Connects talents to the rights projects and bounties in the guild.
 
  1. Role Governance Process
1. Seasonal Elections
a. Salaries are defined and roles are elected each season as part of the season kick-off proposal
b. Nominations will be collected as a new season approaches for existing roles
c. Voting will be done in #legal-poll channel with Sesh poll(s)
2. Revising Role Definition
Proposal to modify the responsibilities or salaries of the roles may be proposed at any time via the guild governance framework
3. Incepting New Roles
New roles may be proposed and elected at any time using this guild governance framework
4. Deprecating Roles
Roles that are no longer needed may be proposed as concluded at the end of a season using this guild governance framework.
 
  1. FAQ
How do we prevent people from running off w/ funds from successful proposals? Payments will be made at the end of each month and will be evaluated by the Guild coordinator together with the Governance specialist and then an indication will be given to the signatories of the multi-sig. Contributions will be sent only to members who have fulfilled their tasks, in proportion to the period in which the obligations of the role will be carried out.
Multisig address is on the guild page in Notion and anyone can watch and follow along.
 
  1. Active Members Criteria
To be an active member, the person needs to do 2/5 of the following things:
a. Members who attend at least 1 meeting a month or a total of 4 meetings in the entire season.
b. Members who have contributed to at least one summary/article to Decentralised Law in the past three months.
c. Members that have been contributors to an ongoing or past project within the last three to six months.
d. Active Speaker in a Twitter space held by the Legal Guild.
e. Be a guest pass holder and legal guild badge holder for three months with active participation in async discussions.
