Summary
As season 1 progresses, the Translators Guild received funds (~360K BANK) for the purpose of supporting guild initiatives. In order to properly distribute these funds we need a base from which to build upon. We propose this genesis governance framework (which covers most areas in need of funding within our guild) as a starting point to manage guild funds.
Background
Cross-guild-collaboration projects will receive funding from Grants Committee to incentivize participants from all across the DAO to contribute to projects; whereas guilds will receive funds to create thriving guild operations. So this proposal will focus on the use of just guild funds and consider what it takes for thriving guild operations (not how we compensate guild members for contribution to DAO-wide projects).
Additionally, we’ll need a clear process by which we agree as a guild to make decisions relative to those funds. The intention is to have the guild collaboratively direct the design-guild multi-sig (gnosis safe and signer details here) and they will follow the decisions made via this governance framework to execute ‘the will of the guild’.
In order for this framework to effectively work towards these above mentioned goals this genesis proposal needs to:
- Define clear process, templates, and tools so everyone has equal access to participating in the guild treasury governance
- Define genesis guild roles and funds that will be allocated to them for season1 (i.e. salaries for standing ‘jobs’ to maintain healthy guild coordination)
- Provide guidelines for creating proposals and making good decisions as a guild

Guild Governance Framework
This is a framework for guidance. So, feel free to do what you feel is right for your particular proposal (e.g. if it’s a simple proposal and needs to be moved forward quickly you may elect to try going straight to the voting stage). Note: if your idea doesn’t require guild funds or addition/revision/depreciation of a guild role or active program then you probably don’t need to use the rigor of this process and can probably just do a temperature and awareness check via messages in the appropriate guild channel.

- Use this GDoc template Proposal template when drafting a new proposal, but please write in Notion to respect DAO members privacy.

- Vote poll should be open for minimum 3 days to maximize participation
- Be sure to clearly label it as a ‘consensus vote’ and use the @Translator's Guild tag when posting so guild is notified for maximum participation
- All binary (yes/no) type votes require a 60% consensus to pass, all non-binary votes or variations required must be defined in the proposal and clearly state thresholds/mechanics for a successful consensus.
- Closing and Treasury Distributions
- Proposal is updated to status ‘Closed’ and a decision summary is recorded
- Guild coordinator role notified (if not aware) to rally the multi-sig signers

Genesis Roles
Guild Coordinator
- Salary: 8.000 BANK / week (estimated 8 hours week)
- Incumbent Elect: Grendel
- Purpose: Keep guild connected, organized, and sharing transparently across the DAO.
- Responsibilities:
- Maintain a weekly agenda
- Facilitate weekly guild meetings
- Manage meeting setup & calendar event
- Event reminders
- Moderating meeting flow & agenda
- Take notes (or otherwise collect) during weekly guild meetings
- Represent the guild during DAO Community Calls
- Welcome & direct new members
- Moderate discord channels
- Encourage collaboration
- Allow individual contributors to stay up to speed at a higher frequency than async updates
- Maintain the Guild’s Notion page
- Intra guild payments
- Maintain communications with the Writers Guild
Governance, guild treasurer and quality control specialist
- Salary: 8.000 BANK / week (estimated 8 hours week)
- Incumbent: tommyolofsson
- Purpose: Verify the correct execution of the procedures and decide with the Guild Coordinator and the members the best strategies so that everyone's work is carried out at a high level of quality. Take care of the Guild Treasury
- Responsibilities:
- Ensures all governance-related actions are completed according to the governance protocols designed this proposal'
- Is engaged with other guilds from a governance perspective
- represents translators guild on the ops/governance guild to ensure all cross-guild governance and process are adopted by the translators guild
- Study the best ways to ensure that the work is done in the best possible way and that the results can be of high quality
Well-being of members and welcome specialist
- Salary: 6.000 BANK / week (estimated 6 hours week)
- Incumbent:
- Purpose: Help Guild members solve their problems, help new Guild members settle in and support them to start translating
- Responsibilities:
- Maintain contact with all Guild members and ensure they have the right tools and environment to work
- Welcoming new members with the Guild coordinator, explaining to them the aims of the Guild, showing them the tools used and working methods, supporting them in the first translations
Role Governance Process
- Seasonal Elections
- Salaries are defined and roles elected each season as part of season kick-off proposal (i.e. not unlike this genesis proposal it’s recommended that each season we’ll do a ‘bigger’ proposal to plan/kick-off the season)
- We’ll collect nominations as a new season approaches for existing roles
- Voting will be done in #translation-general channel with Sesh poll(s)
- Revising Role Definition
Proposal to modify the responsibilities or salaries of the roles may be proposed at any time via the guild governance framework
- Incepting New Roles
New roles may be proposed and elected at any time using this guild governance framework
- Deprecating Roles
Roles that are no longer needed may be proposed as concluded at the end of a season using this guild governance framework.
FAQ
- How do we prevent people from running off w/ funds from successful proposals?
Payments will be made at the end of each month and will be evaluated by the Guild coordinator together with the Governance specialist and then an indication will be given to the signatories of the multi-sig. Contributions will be sent only to members who have fulfilled their task, in proportion to the period in which the obligations of the role will be carried out.
- How do we ensure we don’t fund ‘first to arrive’ proposals and run out of seasonal funds and some great ideas come up later and we have no BANK for them?
- Coordinator roles will share transparently guild treasury balance and anticipated end of season dates so that as a guild we can make decisions on if we’re burning through it too fast or not along the way. (e.g. weekly call will have a treasury update agenda item)
- Multisig address will be on guild page in Notion and anyone can watch and follow along
