We are building a long term movement to discover and support innovations in web3-enabled regenerative technology. Not only will investors be responsible for voting on where to allocate capital, they will take the first step in shaping what will become a mass investment movement to reverse climate change.
How To Invest
To invest, qualifying accredited investors (as defined by the United States Securities and Exchange Commission) must connect a cryptocurrency wallet (such as Metamask) through the Aera Force website to mint the desired number of Investment Tickets after launch day (2/22/2022).
The wallet must hold sufficient Ethereum balance for the number of tickets desired. Each ticket represents a 10 ETH investment. Once minted, a smart contract will hold funds in escrow until the KYC process has been completed.
Investment Ticket NFTs gives holders voting rights in the DAO and unlocks a share of the fund’s proceeds proportional to ETH invested.
Holders of 5, 10, or 20 Tickets gives you access to additional rewards. Every Investment Ticket is also a unique piece designed for the Aera Force by artist Kenneth Alexander.
Investors can mint a maximum of 20 Investment Tickets, and obtain extra rights and rewards for holding a larger number of Investment Tickets:
  • Minimum Investment: 1 Ticket (10 Ξ )
  • Maximum Investment 20 Tickets (200 Ξ )

Am I qualified to invest?
Due to the nature of the types of investments we are making, every investing (and voting member of the DAO) must be an accredited investor as defined by the United States Securities and Exchange Commission (the “SEC”) in order to contribute funds. You can invest from anywhere in the world but must satisfy the SEC accreditation tests, which are summarized below:
For an individual:
  • Tax returns or W-2s (or foreign equivalents) showing annual income of $200K+ (or $300K+ together with a spouse or spousal equivalent) for the past two years
  • Bank or brokerage statements showing assets of > $1M
  • A letter from an attorney, CPA, or broker attesting that you are an accredited investor Proof of holding a Series 7, Series 65, or Series 82 License in good standing
For an entity:
  • Bank or brokerage statements showing assets of > $5M
  • A letter from an attorney, CPA, or broker attesting that the entity is an accredited investor
  • Proof that all equity owners of the entity are accredited (see above)
 
Making an Investment: Step by Step
  1. On Launch Day (2/22/2022), Investors can mint Investment Tickets by visiting Invest.AeraForce.Xyz
  1. Connect your cryptocurrency wallet (such as Metamask) with sufficient Ethereum balance
  1. Select the amount you wish to commit to the Aera Force DAO syndicate (minimum 10 Ξ)
  1. Complete and submit items including personal details and wallet address
  1. After minting and submission of key info, every investor will receive an email directing an investor to complete a KYC and investor accreditation process handled by our accreditation partner Verifyinvestor.com. (This process should take between 5-10 minutes. We are providing a 7 day window to complete this step.)
  1. Once verified as an accredited investor you will receive an email confirming accredited status. The smart contract will be activated to distribute the Tickets as NFTs to your wallet and secure the funds for the DAO treasury.

The NFTs will be sent to the wallet used to mint. If investors wish to transfer NFTs to another wallet (i.e. a cold wallet), they must inform the core team of the new wallet address.
 
What if for some reason I am unable to complete the accreditation?
If an individual for whatever reason does not pass the KYC and Accreditation process, funds will be returned and all waitlisted investors will be notified. The Aera Force DAO team will stay in touch with you and help you if needed.
Token Utility (Revenue + Voting)
There are 200 Investment Ticket NFTs available for minting. An investor’s relative participation threshold in the syndicate is represented by the number of investment tickets they hold out of the 200 available. The number of investment tickets also represents that particular member’s voting power (

For an investor to VOTE in the DAO and collect REVENUE from token investment, they must hold and maintain all of their Investment Tickets in a wallet of which they have proven ownership. Revenue will be distributed automatically through smart contracts established for every Aera Force investment. (

Over the duration of the fund, transferring NFTs to individuals other than the Accredited Investor who purchased them will result in a total loss of utility. If you wish to transfer NFTs to a new wallet, please inform the Core Team, to ensure you remain whitelisted to participate in DAO operations.

The Collection
The Aera Force will release a set of 200 Investment Tickets available for mint at 10 ETH per ticket. Each ticket is a unique NFT that both represents your investment as well as a piece of art designed by artist Kenneth Alexander.
Token Standard
Aera Investment Tickets are minted on the Ethereum blockchain, using the ERC 721 token standard. We chose the Ethereum blockchain to ensure that governance tokens and other DAO tools can be easily incorporated into Aera Force further down the road.
