New members:
- Teresacd lawyer from Panama (practices both in Panama and Mexico)
- Panama foundation as a DAO wrapper β food for thought
Β
Newsletter:
- Drafts due on 15 of May β we should try to stick to this deadline
th
- COYSrUS needs to have enough time for editing since the newsletter is to be published on the 25 of May
th
- Content needs to be DeFi-related
- RedHatRoss, Troyso, DAOLaw, Teramask, lawpanda, taxpanda, Jay_the_Legal_Wizard
- General counsel of Aave potentially to be interviewed (Rebecca Rettig) ο ComeBackKid will ask her (she is already taking part in the podcast)
- Gabriel Shapiro is another potential interviewee
Β
Podcast:
- New episode features Evan Thomas β Head of Legal for Wealthsimple Crypto
- Two other potential interviewees in the pipeline
- New proposal on the podcast
- DAO legal wrapper proposal to be put forward next week, so we should wait with coming up with a proposal on podcast so as not to flood the grants committee with too many Legal Guildβs proposals
- Getting a sponsorship for a podcast is an option (Eagle will try)
- DAO as a general partnership debate as an idea for a podcast
Β
Liability of DAO members in the context of California class-action case :
- At least in US a legal wrapper seems to be needed to get protection against liability
- Having the California case in mind the work on a legal wrapper should be intensified
- Legal wrapper will not reduce the number of cases being started though
- βYouβre not a general partnership until the judge/jury says you areβ β food for thought (risk vs reality of proving general partnership in court)
- Shield for liability does not diminish the risk of being sued, but reduces the risk of being held liable
- Practical hurdles with suing an individual (identification plus actual possibility of recovery)
- On-chain insurance (e.g. Nexus Mutual β insurance fund for DeFi)
Β
DAO legal wrapper project:
- Proposal has been submitted
- To be discussed during the next grants committee
- Voting will happen next Tuesday
- Good timing given the California case
Β
Tax project β GTG:
- Editing is done
- 8 jurisdictions are done
- Smart contract for minting is being developed
- 1 ETH is needed β either to be requested from the grants committee or through crowd funding among the Legal Guild
- Brazilian part is still not ready (to be decided whether it will be featured in the GTG)
- 12 May β minting date
Β
Digital nomad project:
- Jengajojo.eth spearheads the project
- Research on friendly jurisdictions for digital nomads, especially those working in DAOs
- How each jurisdiction can be used for different lifestyles
- Access to the report NFT -gated? We will see depending on the GTG minting outcome
