(Minimum Viable Governance)
1. Purpose.
The purpose of this DAO Paper is to describe the core principles and guidelines of RnDAO governance. It establishes the ethical framework and rules for our community of members, contributors, and supporters.
It's designed to ensure that everyone involved, from individuals to organizations, adheres to a unified approach to upholding the values and objectives that drive RnDAO.
This DAO Paper is complementary to the Operating Agreement of RnDAO LLC, and in case of contradiction, is superseded by the RnDAO LLC Operating Agreement.
2. RnDAO Organizational Structure.
RnDAO is divided into two broad categories:
- DAO work Units, and
- Venture Units
DAO Work Units perform work that sustains the DAO, and they provide services to ventures and external parties.
Venture Units are legally independent projects whose purpose aligns with the RnDAO mission and have entered into an agreement with RnDAO granting them Venture Unit status.
3. Human & Tech Governance.
In RnDAO, two forms of rules equally apply: human-readable guidelines and smart contract code.
On-chain actions are executed by the DAO's smart contracts, and off-chain actions are carried out in accordance with the governance framework and policies.
3.1. Governance Framework.
RnDAO's governance framework encompasses the DAO Paper and a suite of governance guidelines and policies designed to address diverse DAO needs, including but not limited to proposal andΒ voting procedures, consensus mechanisms, treasury management, and others.
Each guideline and policy represents the established governance rules and recommendations for community members to adhere to.
In the event of any discrepancies or ambiguity, the rules and recommendations outlined in the DAO Paper and other governing documents of the DAO shall take precedence.
3.2. RnIPs: RnDAO Improvement proposals.
All proposals must adhere to the established governance framework. Proposals that are not in alignment with the framework, shall be deemed invalid, rendering any related voting null and void.
Proposals put forth for RnDAO community consideration must ensure equitable benefits, not favoring the majority of the community at the expense of the minority.
4. DAO Membership Agreement.
The DAO Membership Agreement serves as a legally binding document outlining expected behavioral rules and the terms of membership for all RnDAO community members.
By continuing to use RnDAO platforms, individuals implicitly agree to adhere to these terms, recognizing the potential legal consequences in the event of any violations.
5. RnDAO Platforms.
RnDAO platforms include all official social media channels and other designated platforms recognized as official accounts of the RnDAO.
Governance rules and recommendations outlined in the DAO Paper are universally applicable across all official RnDAO platforms.
