Governance
Purpose and Mandates
As defined by the Taxonomy post and enforced by Member Based Guild Funding for Season 6, the AV Guild’s purpose is to attract, retain, and upskill Audio/Visual talent, and nothing else.
Before this mandate, and since Season 0, the AV Guild’s responsibilities have also included the management of the BanklessDAO YouTube channel for curation and security, as well as the broadcasting and archival of weekly Community Calls.
AV Guild members ultimately provide valuable support to other DAO subgroups by fulfilling requests for audio/visual services. (Please visit our Notion page for our service request form and menu of services.)

Role Holder Elections
Qualifications
Salaried roles are elected positions. Qualifications to be eligible to hold a salaried role include:
  • L2 BanklessDAO Membership
Nominations
Nominations will start three weeks before the last week of each season and be open for one week.
Qualified members wishing to run for election must first nominate themselves in the #av-gov channel (or an appropriate discussion thread) with a post expressing their interest in and qualifications for their desired position. Links to previous work are encouraged.
After the nomination process, move immediately to the election process.
Seasonal Elections
Elections will be held two weeks before the last week of each season and be open for one week. Role elections should utilize the Governator bot for a BANK token-weighted vote and be restricted to only members with the <@AV-Active> tag.
If one qualified candidate emerges from the nomination process, the election vote will be structured as Approve/Disapprove/Abstain.
If multiple qualified candidates emerge, they will all be listed, along with an Abstain option, and the option with the most voting power wins.
In the case of a tie, a run-off election will be held using another BANK token-weighted Governator poll, restricted to members with both the <@AV-Active> and <@AV-Artisan> tags.
Post-Election Transition
Within a week of election results, incoming and outgoing role holders should schedule a call to debrief the prior season and hand off any relevant tools, documents, permissions, or instructions.
It is the incoming role holder’s responsibility to coordinate this meeting and it is the outgoing role holder’s responsibility to provide all relevant materials needed to fulfill the responsibilities of the role.
Mid-Season Elections
During the course of a season, elections can be triggered in three ways.
  • An addition of a member to a role (for an expansion or split of a role)
  • A proposal to remove a Guild member from their role
  • A role holder stepping down from their position, requiring a replacement
If a mid-season election is triggered, a 7-day nomination process and a 7-day election process will be initiated.
Term Limits
An individual who wishes to remain in their role across multiple seasons must self-nominate when the seasonal election process is triggered.
A role holder may not hold the same role consecutively for more than three seasons, but may hold other roles within the Guild after their term in the first role has been limited.
This term limit should not be enforced, however, if the only eligible nominee is the incumbent role holder. The incumbent must still be approved by a vote, but will not be disqualified simply by term count.
Role Holder Removal
If a role holder fails to fulfill their duties due to negligence, incompetence, malice, or corruption, any member of the Guild can create a Governator poll asking members with the <@AV-Active> tag to vote on the removal of the role holder. A supermajority of two-thirds is required to remove a role holder from their position.
If a role holder is removed from their role, a new nomination process is started for the purpose of electing a replacement role holder. The new role holder serves until the end of the season or until they are removed from the role by vote.
Revising Role Definitions
A proposal to modify the responsibilities or salaries of the Guild’s roles may be put forth at any time. Create a Governator poll, restricted to <@AV-Active> members, in the #av-gov channel detailing the proposed changes.
The format of the vote should be Approve/Disapprove/Abstain.
A simple majority for ā€˜Approve’ is needed to revise role definitions.
Incepting New Roles
New roles may be proposed at any time, as necessary for Guild functionality. First create a Governator poll in the #av-gov channel to vote on the creation of the new role. Then, separately, move to nominate and elect the new role holder.
The format of the vote should be Approve/Disapprove/Abstain.
A simple majority for ā€˜Approve’ is needed to create new roles.
Deprecating Roles
Roles that are no longer needed may be proposed for deprecation. Create a Governator poll in the #av-gov channel to vote on the deprecation of the role with a clear indication of when the role and its related salary are to end. If multiple roles are proposed for deprecation, create separate polls for each role.
The format of the vote should be Approve/Disapprove/Abstain.
A simple majority for ā€˜Approve’ is needed to deprecate roles.
Multisig Management
Approval Threshold
The Safe is to be a 4-of-7 multisig, requiring seven people be listed as Safe owners and four signatures be confirmed before a transaction can be executed. This applies to the mainnet Safe(s) as well as any layer-2 multisigs that may be created later.
Signer Rotation
Electing new role holders does not necessitate signer rotation. However, the individual responsible for tracking and initiating payments should always be on the multisig.
It may be prudent to include someone from the Treasury Department as a signer when things are more complex or to prevent the gaming of treasury funds.
Eligibility
The prerequisites for eligibility to be on the multisig include L2 Contributor status and the willingness and ability to review and execute multisig transactions in a timely manner.
Treasury
As of July 20, 2023, the AV Guild Safe holds 601,200 BANK, as well as 721 SAFE delegated to daostewards.eth.

The Guild Coordinator has their finger on the pulse of the BanklessDAO, staying up to date on practical cross-guild operational issues and topics that affect AV Guild. They guide Guild activities and keep governance processes moving smoothly.
  • Maintains weekly agenda and facilitates weekly Guild meetings
  • Manages meeting setup, calendar events, and reminders
  • Acts as the main point of contact for inquiries from outside the Guild
  • Disseminates relevant bDAO discourse to the Guild in an accurate and timely manner
  • Facilitates general Guild organization
  • Moderates the Guild Discord channels
  • Acts as the default representative of the AV Guild during DAO Community Calls
Talent Coordinator
Estimated time requirement: 7 hours per week
Salary: 7000 BANK per week
The Talent Coordinator is responsible for welcoming new members, scouting for new talent, and finding members with available bandwidth. They are also tasked with identifying and/or sourcing talent where needed.
  • Welcomes and onboards new and prospective members with a focus on talent
  • Connects with Guild members for talent management
  • Helps members identify opportunities to participate, pursue passions, and level-up
  • Maintains directory of Guild members with portfolio examples, skill matrix, availability
  • Encourages collaboration
Notion Admin
Estimated time requirement: 1 hour per week
Salary: 1000 BANK per week
  • Manages Notion users for the Guild and its subgroups (i.e. add/remove users)
  • Manages Notion permissions for the Guild and its subgroups (i.e. page access levels)
  • Reports and remediates intrusions with support from the DAO Notion Administration Team
  • Reviews and updates all users and permissions for the group seasonally
  • Checks in with the DAO Notion Admin team with any updates, questions, or concerns
Processes
Membership
Any BanklessDAO member is welcome to join the AV Guild, once they have been onboarded to the DAO. Visit the #āš”role-select channel and apply the šŸ“ŗ AV Guild tag to gain access to AV Guild Discord channels.
Onboarding
Onboarding begins with a member joining the Guild’s weekly meeting, introducing themselves, and sharing their interest in joining. Weekly AV Guild meetings are held on Wednesdays at 2pm UTC in the #upstage (voice channel). All are welcome to attend.
Any information new members need to get started is included in the #av-start-here channel and posted on our Notion page. We ask new members to fill out the Tally form detailing their experience and talents so that we know how we can best coordinate each of our skills.
Activity Defined
An active member is one who has contributed to the Guild’s activities within the last season…
  • …by holding and fulfilling a role,
  • …through completing bountied tasks, or
  • …by actively signing on the multisig.
Active members will be assigned the <@AV-Active> tag in Discord. Only members of the Guild with the <@AV-Active> tag are eligible for election to salaried roles and participation in Guild-gated polls.
If an active member becomes inactive in the Guild for more than one season (for any reason), they will lose the <@AV-Active> tag. Once qualifying activities resume, the <@AV-Active> tag can be reapplied.
Proficiency Defined
Members who have demonstrated proficiency in Audio/Visual work while holding the <@AV-Active> tag are eligible to receive the <@AV-Artisan> tag. By granting members this tag, we provide the DAO with a cumulative list of talented individuals when AV skills are needed by other groups or members of the DAO.
To earn the <@AV-Artisan> tag, a member must be able to provide examples of their BanklessDAO AV work, be nominated by another <@AV-Artisan> member, and pass a Guild vote of support, similar to the way a DAO member earns the L2 membership level for BanklessDAO. Within the AV Guild, the vote must reach a simple majority for Yes by active artisans. Members who earn the <@AV-Artisan> tag may retain this tag if formal activity in the Guild ceases.

Projects
For Season 6, the Grants Committee mandated that any projects that are born from within the Guild must spin out of the Guild to apply for funding like any other Project. This was reinforced by the funding changes that were made for Season 6, which restrict Seasonal Guild Funding to a flat amount per active member. Given this new budget structure, and without revenue streams to the Guild’s treasury, the Guild cannot afford to fund projects itself.
Any AV Guild member with a project idea is welcome to build out these ideas and proposals in public, within the Guild, but they must apply for separate funding from the Grants Committee and get support from the DAO at large. For more detailed information on how to do this, please reference the BanklessDAO Constitution.
Compensation
Members must be active contributors with verifiable deliverables to be eligible for compensation. The <@AV-Active> Discord tag is used to identify compensation-eligible members. Compensation is paid through salaried roles and bounties.
Payments for salaries and bounties are distributed periodically throughout the season, typically monthly.
The AV Guild does not currently utilize Coordinape. This process was ended in Season 5 to prevent disengaged and inactive Guild members from gaming the open-entry compensation rounds, ultimately draining our Guild and DAO funds without providing value to the organization.
Salaried Roles
Salaries are calculated based on the 1000 BANK per hour standard as recommended by the DAO early in its existence. The calculations are based on a weekly average of hours spent performing the duties of each role over the course of a season.
Note: There is an ongoing discussion around potential changes to this suggestion, as this is valued at approximately $3 per hour at the time of this writing during the 2023 bear market. This rate is below the legal minimum wage in most Western countries and is the leading factor in our difficulties in retaining talent. (Comparatively, these skills are valued at 3-10 times this amount in the traditional Western labor market.)
Bounties
Bounties that qualify for compensation each pay period include YouTube quality checks and uploads, the processing of payments, record keeping and accounting, updating the Notion page with new or updated information, preparation of funding requests, maintenance of our governance documents, or any other essential tasks that may come up throughout the season.
Bounties are paid at the DAO-suggested 1000 BANK per hour rate. Beginning in Season 6, if outside parties are requesting AV work from our members, the rate charged to the outside party will include a service fee of 25%. Details regarding this service fee can be found in the Guild Revenue Model section below.
Tooling Expenses
To request reimbursement for expenses paid on behalf of the Guild, first get approval for the expense from the Guild Coordinator, and then provide proof of the expense when submitting a request for reimbursement. Approved expenses may be submitted each pay period for reimbursement in BANK.
Guild Revenue Model
Beginning in Season 6, the AV Guild has been using a revenue generation model directed toward achieving self-sufficiency. A markup is added to the cost of labor when subgroups quote prices for AV services. The service fee, retained by the Guild, is used to cover future overhead expenses. By approaching revenue in this way, we can ensure that the Guild and its services are available for all DAO subgroups when needed, but also be better able to scale our expenses up or down with the actual demand for services.
Those looking to request AV services should visit the Notion page and fill out a request form. The menu of prices for services we offer is available there as well. Our basic meeting screen capture and recording service is only 1250 BANK per hour of labor (up from 1000 BANK per hour, due to the service fee). Groups may also choose to record audio-only themselves, for free, using our resident Craig bot. Instructions for how to use Craig are also available on our Notion page.
